Terms of Service

1. Who we are and what these Terms cover

HowdyBell is a customer relationship management and unified inbox product owned and operated by Gossip Apps LLC, a Texas limited liability company (we, us, our). These Terms of Service (Terms) cover howdybell.com, the HowdyBell web app, and the HowdyBell web chat widget (together, the Service). Our Privacy Policy and any product-specific policy we publish for HowdyBell are part of these Terms.

2. Acceptance

You accept these Terms by creating an account, checking a box that says you agree, paying for the Service, or using the Service after the effective date above. We record the version of these Terms you accepted, when you accepted it, and the IP address you accepted it from.

3. Eligibility

  • You must be at least 18 years old and able to form a binding contract.
  • You must not be barred from using the Service under US sanctions or export control law.
  • One account per person unless we agree otherwise in writing.
  • If you use the Service on behalf of a business, you confirm you have the authority to bind that business to these Terms.

Children. The Service is not directed to children. We do not knowingly collect personal information from anyone under 13, as required by COPPA, and we do not allow anyone under 18 to use the Service. If we learn a person under 18 has an account, we delete the account and the data tied to it. A parent or guardian who believes their child has used the Service can write to [email protected].

4. Accounts and security

  • Give us accurate information when you create an account.
  • Keep your login credentials secret and do not share them.
  • You are responsible for everything that happens under your account.
  • Tell us right away at [email protected] if you think your account has been compromised.
  • We may reclaim a username or handle if we need to.
  • You may not sell, rent, or transfer your account to anyone else.

5. Changes to the Service and to these Terms

We may change, add to, or discontinue features of the Service at any time. If we make a material change to these Terms, we will notify you by email or inside the product at least 14 days before the change takes effect, except for changes required by law or changes that only add new features, which take effect as soon as we post them. Using the Service after a change takes effect counts as accepting it. If you do not agree with a change, stop using the Service and close your account.

6. Your content

HowdyBell stores contact records, pipeline and task data, conversation history, imported CSV files, and other business data that you and your team put into the Service (Your Content). You and your business own Your Content. You grant HowdyBell a worldwide, non-exclusive, royalty-free license to host, store, back up, reproduce, and display Your Content solely to operate, secure, and support the Service for you and the users you authorize, and to send it to the sub-processors named in our Privacy Policy who help us run the Service. We do not use Your Content to advertise or promote anything, and we do not use it to train AI models.

You represent that you have the right to put Your Content into the Service and that doing so does not break the law or anyone else's rights. This license lasts as long as we need it to provide backups and support, and ends on the schedule in Section 18 and in our Privacy Policy once your account closes.

7. Acceptable use

You may not use the Service to:

  • upload or send illegal content
  • upload, store, or transmit child sexual abuse material; we have zero tolerance for this and report it to the National Center for Missing and Exploited Children under 18 U.S.C. 2258A
  • harass, threaten, or stalk anyone
  • collect or publish someone's private information without their consent
  • promote hate based on a protected class
  • commit or facilitate fraud, scams, or phishing
  • distribute malware
  • send spam or unsolicited bulk messages through the Service
  • impersonate a person or business
  • infringe anyone's intellectual property
  • scrape the Service, bypass rate limits, or reverse engineer the Service except where the law allows it
  • interfere with the Service's operation or try to get around a suspension or ban
  • use the Service to build a competing product or dataset

Section 23 below covers the extra rules that apply to the messages you send your own contacts through the Service.

8. Moderation, reporting and enforcement

HowdyBell is an interactive computer service under 47 U.S.C. 230. We have no general obligation to monitor Your Content, but we may review it. We can remove content, restrict features, or suspend or terminate an account at our discretion, with or without notice, if we believe these Terms or the law has been broken. Report a problem to [email protected]. We may preserve and disclose content to comply with the law, enforce these Terms, or protect people, and we cooperate with law enforcement. We enforce a repeat infringer policy for copyright claims.

9. Copyright (DMCA)

Our designated agent for copyright notices is HowdyBell, DMCA Agent, [email protected]. A takedown notice must include the elements listed in 17 U.S.C. 512(c)(3). If your content is taken down, you can send a counter notice under 17 U.S.C. 512(g). We may forward notices and counter notices to the parties involved, and we terminate repeat infringers. Knowingly misrepresenting a claim can create liability under 17 U.S.C. 512(f). Send trademark complaints to the same address.

10. Third-party services and links

We use the sub-processors named in our Privacy Policy to run the Service, including Twilio, Meta, DigitalOcean, Cloudflare, Resend, and, once paid plans launch, Stripe (Stripe Services Agreement applies to payments). We are not responsible for third-party sites or services you connect to HowdyBell, and their own terms apply to your use of them.

11. Payments

HowdyBell does not charge for the Service as of the effective date above. When paid plans launch, this section applies: prices are in US dollars and include any tax we are required to collect; Stripe processes card payments and we never store your full card number; subscriptions auto-renew until you cancel; you can cancel any time and keep access through the end of the period you already paid for; we do not give partial-period refunds; we give at least 30 days notice before a price change; a failed payment may suspend paid features; a chargeback may lead to account suspension. Before we charge you for the first time, we show you the price and get your clear consent, and cancellation is always available in the product or by email, consistent with the ROSCA auto-renewal rules.

12. Intellectual property

The Service, our software, our trademarks, and everything we create for the Service belong to HowdyBell or our licensors. We give you a limited, revocable, non-transferable license to use the Service for your own business. You may not scrape or copy our content. Open-source components we use remain under their own licenses.

13. Disclaimers

The Service is provided AS IS and AS AVAILABLE. We do not promise the Service will be error-free, uninterrupted, accurate, or fit for a particular purpose. We do not endorse anything your contacts or customers send through the Service.

14. Limitation of liability

To the extent the law allows, HowdyBell is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising from your use of the Service. Our total liability for any claim is capped at the greater of what you paid us in the 12 months before the claim, or 100 US dollars. This limit does not apply where the law does not allow it, such as for gross negligence, willful misconduct, or death or personal injury.

15. Indemnity

You agree to defend and indemnify HowdyBell and its members, officers, and contractors against claims arising from Your Content, your use of the Service, or your breach of these Terms.

16. Dispute resolution

HowdyBell is a business product. Any dispute between you and HowdyBell will be decided by the state and federal courts sitting in Victoria County, Texas, and both sides waive the right to a jury trial. A claim must be brought within one year of when it arose.

17. Governing law

Texas law governs these Terms, without regard to conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Consumers keep any non-waivable rights of their home jurisdiction.

18. Termination

You can close your account any time from inside the product or by emailing [email protected]. We can suspend or terminate your account for breaking these Terms, for risk or legal reasons, or if the account has been inactive for more than 24 months. When your account ends, your license to use the Service ends and we delete Your Content within 30 days, subject to the retention periods in our Privacy Policy. Sections that by their nature should survive termination will survive.

19. General

  • Export controls: you may not use the Service from an embargoed country or if you are on a denied-parties list.
  • US government users may have additional federal acquisition terms apply.
  • Neither side is liable for delay caused by events outside its reasonable control.
  • We may assign these Terms to an affiliate or in a sale of our business; you may not assign them without our consent.
  • Failing to enforce a term is not a waiver of it.
  • If any part of these Terms is unenforceable, the rest stays in effect.
  • These Terms are the entire agreement between us about the Service.
  • Notices to you go to the email on your account; notices to us go to [email protected] or our postal address above.
  • By using the Service you agree to receive communications from us electronically.
  • There are no third-party beneficiaries to these Terms.
  • Section headings are for convenience only.
  • The English version of these Terms controls.

21. What HowdyBell does

HowdyBell is a CRM and unified inbox. It lets your business manage contacts, run sales pipelines, assign tasks, and hold conversations with your own customers over email, SMS, WhatsApp, Facebook Messenger, Instagram, and a web chat widget you can add to your own site, and it lets you import your existing contacts from a CSV file.

22. Your data, our role

When you use HowdyBell to store and message your own customers' or contacts' personal data (Customer Data), you are the controller of that data and HowdyBell is the processor, acting only on your instructions. We process Customer Data for one purpose: to provide, secure, and support the Service. We never use it for our own purposes and never use it to build a dataset.

We use the sub-processors named in our Privacy Policy, currently DigitalOcean, Cloudflare, Resend, Twilio, and Meta, to help us run the Service, and we remain responsible for their handling of Customer Data under this agreement. If your account is terminated, we delete Customer Data within 30 days, except where we are required to keep records longer by law (see Retention in our Privacy Policy). If we learn of a security incident affecting Customer Data, we will notify you without undue delay. We do not sell Customer Data and we do not share it with anyone except the named sub-processors, as the law requires, or with your direction.

23. Your responsibility for outbound messages

You are responsible for making sure the messages you send through HowdyBell comply with the law. Before you text a contact, you must have their consent under the Telephone Consumer Protection Act (TCPA). HowdyBell automatically honors STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT replies on SMS and WhatsApp conversations and stops sending that contact further messages; you may not attempt to bypass this. Email you send through HowdyBell must follow the CAN-SPAM Act, including an honest subject line, a valid postal address, and an easy way to opt out. Messages you send over Facebook Messenger and Instagram must follow Meta's Platform Terms and Community Standards. Messages you send over WhatsApp must follow WhatsApp's Business Policy. Breaking any of these rules is a breach of these Terms and can lead to your account being suspended or terminated.
